Limited Warranty
NetTalon Products - NetTalon Security Systems warrants its products to be free from defects in materials and workmanship for twenty-four (24) months from the date of manufacture,
under normal use and service. Products are date stamped at time of manufacture. The sole and exclusive obligation of NetTalon Security Systems is to repair or replace,
at its option, free of charge for parts and labor, any part, which is defective in materials or workmanship under normal use and service.
Non NetTalon Products - For products not under NetTalon Security Systems manufacturing date-stamp control, the warranty is twenty-four (24) months from date of original purchase
by NetTalon Security Systems distributor unless the installation instructions or catalog sets forth a shorter period, in which case the shorter period shall apply.
This warranty is void if the product is altered, repaired or serviced by anyone other than NetTalon Security Systems or its authorized distributors or if there
is a failure to maintain the products and systems in which they operate in a proper and workable manner.
RMA Policies & Procedures - In case of defect, secure a Return Material Authorization (RMA) form from NetTalon's Business Office (Contact: 540-368-5291 or e-mail: Ronald Dubois) Return product, transportation prepaid, to NetTalon Security Systems, Inc., 3304 Bourbon Street, 3rd Floor, Fredericksburg, Virginia 22408.
Warranty - This writing constitutes the only warranty made by NetTalon Security Systems with respect to its products. NetTalon Security Systems
does not represent that its products will prevent any loss by fire or otherwise, or that its products will in all cases provide the protection for which
they are installed or intended. Buyer acknowledges that NetTalon Security Systems is not an insurer and assumes no risk for loss or damages or the cost of
any inconvenience, transportation, damage, misuse, abuse, accident or similar incident.
NetTalon Security Systems - GIVES NO WARRANTY, EXPRESSED OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, OR OTHERWISE WHICH EXTEND BEYOND
THE DESCRIPTION ON THE FACE HEREOF. UNDER NO CIRCUMSTANCES SHALL NetTalon Security Systems BE LIABLE FOR ANY LOSS OF OR DAMAGETO PROPERTY, DIRECT, INCIDENTAL
OR CONSEQUENTIAL, ARISING OUT OF THE USE OF, OR INABILITY TO USE NetTalon Security Systems PRODUCTS. FURTHERMORE, NetTalon Security Systems SHALL NOT BE LIABLE
FOR ANY PERSONAL INJURY OR DEATH WHICH MAY ARISE IN THE COURSE OF, OR AS A RESULT OF, PERSONAL, COMMERCIAL OR INDUSTRIAL USE OF ITS PRODUCTS.
This warranty replaces all previous warranties and is the only warranty made by NetTalon Security Systems, Inc. No increase or alteration, written or verbal,
of the obligation of this warranty is authorized.
Terms & Conditions
Software License
This is a Licensing Agreement between you, the end user of software, and NetTalon Security Systems, Inc. ("NetTalon"). PLEASE READ THIS DOCUMENT CAREFULLY.
BY RECEIVING NETTALON SYSTEM 3000 EQUIPMENT AND INSTALLING NETTALON MONITORING PRODUCTS, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.
Definitions
Program means a software program listed on the Purchase Order and any updated, improved, or otherwise modified version ("Release") of such a program and any related materials, in machine-readable and/or printed form, furnished to Licensee by or on behalf of NetTalon, including any materials provided under any NetTalon software service and any full or partial copies of any of the foregoing. Licensed Programs include, but are not limited to, Operating Systems, Communications Software, Query Languages, NetTalon Programs, or any applications package obtained from NetTalon.
NetTalon Equipment means, with respect to each Licensed Program, the specific computer and peripherals (hereinafter called "Hardware System") listed on the same Purchase Order, or, with respect to any subsequent Releases, the particular Hardware System for which Licensee has paid NetTalon's applicable fee, if such fee is paid for only part of the equipment listed on such Purchase Order.
Purchase Order will be submitted by Licensee for each Hardware system or Software products obtained from NetTalon.
NetTalon Program means a Licensed Application Program which is owned and copyrighted by NetTalon, or for which NetTalon has the independent ability, including the right to use source code, to provide maintenance and support.
License Grant and Scope
Subject to the terms of this Agreement, NetTalon hereby grants to Licensee and its Third Party customer, and Licensee accepts, a nontransferable, nonexclusive license to resell each Licensed Program only on the NetTalon Equipment for the Release in question. Licensee expressly understands that a Licensed Program cannot be transferred to, or used in connection with any Hardware System that is not licensed by NetTalon to operate the Release in question.
Upon request, NetTalon may license Licensee, for an additional license fee, to use some of the Licensed Programs in connection with a Hardware System which NetTalon determines to be compatible after conducting an inspection at NetTalon's then current charges for such an inspection. Releases furnished after such inspection are not warranted to work with future Software Revisions or to the Hardware System if modified after NetTalon's inspection.
Licensee may obtain Releases beyond those originally furnished for particular NetTalon Equipment by either: entering into a software support contract covering the Licensed Program and Equipment, or placing a purchase order which identifies the Licensed Program, Release Number, and Equipment (by Hardware System Identification Number) and in either case paying NetTalon's applicable fee.
Assignment/Transfer
Neither the licenses granted hereunder nor the Licensed Programs may be assigned or transferred without the prior written consent of NetTalon, and any such attempt will void the licenses.
If Licensee desires to transfer the NetTalon Equipment to a third party other than Licensee's original Third-Party Customer, for continuing use by such party, NetTalon agrees, upon Licensee's request and subject to NetTalon' reasonable approval, to offer to enter into a standard NetTalon license agreement with such other third party. After such other third party and NetTalon have executed an agreement covering the Licensed Program(s), Licensee may transfer the Licensed Program(s) to such other third party.
In the absence of such an agreement, if Licensee transfers the NetTalon Equipment, Licensee shall promptly return to NetTalon the Licensed Programs, including all copies which contain any portion of a Licensed Program and any external security devices.
Modifications/Copies
NetTalon grants to Licensee and/or its Third Party Customer the right to copy any Licensed Program in machine-readable form as necessary for backup, or archival, purposes only. Licensee and/or its Third Party Customer shall not reverse-assemble or reverse-compile any Licensed Program.
Licensee and/or its Third Party Customer agrees that any copyright notices and/or proprietary notices appearing on and in Licensed Programs will be reproduced and included on and in any copies, in whole or in part, of Licensed Programs.
Ownership
NetTalon either owns or has the right to license Licensed Programs. As between NetTalon and Licensee and/or its Third Party Customer, Licensed Programs and all copies thereof, in whole or in part, including all portions of Licensed Programs contained in modifications, shall remain the sole property of NetTalon.
Protection of Licensed Programs
Licensee and/or its Third Party Customer agree that they and their employees will not provide or otherwise make available any Licensed Program or portion thereof in any form (including derivative programs) to any other third party and will keep such materials in confidence. Licensee and/or its Third Party Customer further agree to limit availability of Licensed Programs only to those of their employees who need to use such Licensed Programs as permitted by this Agreement.
Terms and Termination
Each license granted herein shall remain in force until Licensee and/or its Third Party Customer discontinues use of the Licensed Program on the NetTalon Equipment or until NetTalon terminates this Agreement or the license for such Licensed Program. NetTalon may terminate this Agreement or any license hereunder: effective immediately upon notice if Licensee and/or its Third Party Customer provides or otherwise makes available to any other third party any Licensed Program or portion thereof, or upon thirty (30) days notice if Licensee attempts to use any Licensed Program or modification thereof on equipment other than the NetTalon Equipment for the Release in question, or attempts to transfer any license or assign this Agreement without the prior written consent of NetTalon, or fails to perform any other material obligation under this Agreement, and does not cure such breach within such period. Immediately upon termination, Licensee and/or its Third Party Customer shall return to NetTalon the Licensed Program(s) and all copies thereof, provided that Licensee and/or its Third Party Customer may remove from such copies any modifications made by Licensee and/or its Third Party Customer.
Software Limited Warranty
All NetTalon software is warranted according to the limited warranty included with the software to operate substantially in conformance with such software's standard specifications as provided by NetTalon or as contained in any documentation delivered with the software. Specific terms of the limited warranty are stated in such documentation and are only summarized here. In addition, NetTalon shall make available to Purchaser, free of charge, all published modifications correcting program problems that NetTalon releases during the applicable warranty period. Purchaser must promptly notify NetTalon of any improperly operating software and NetTalon will, in its sole discretion, either repair or replace the software without charge. Purchaser may, as its exclusive remedy hereunder, return the software for a refund of its purchase price if NetTalon is unable to repair or replace it.
